TERMS & CONDITIONS AMCI MEDICAL IMAGING LLC TERMS & CONDITIONS OF SALE, RETURNS, CORE EXCHANGES & WARRANTY Effective September 2026 Thank you for choosing AMCI Medical Imaging LLC ("AMCI"). Please review these Terms & Conditions before placing an order. By purchasing from AMCI, submitting a purchase order, accepting delivery, authorizing service, or otherwise completing a transaction with AMCI, the purchaser ("Buyer") acknowledges and agrees to the applicable terms below. These Terms apply unless different terms are expressly stated on an AMCI quotation, sales order, exchange authorization, RMA, packing slip, invoice, warranty document, or separately signed agreement. Transaction-specific written AMCI terms control for that transaction. 1. Independent Aftermarket Company AMCI Medical Imaging LLC is an independent aftermarket medical imaging company specializing in mobile radiography equipment, replacement parts, detectors, components, repair, rebuilding, refurbishment, remanufacturing, system modernization, and digital radiography retrofit solutions. AMCI may acquire previously owned OEM equipment and components and inspect, test, harvest, repair, rebuild, recondition, refurbish, remanufacture, recertify, retrofit, modify, integrate, and resell them according to the condition and description stated on the applicable quotation, invoice, or product listing. Unless expressly stated otherwise in writing, AMCI is not affiliated with, sponsored by, authorized by, or endorsed by GE HealthCare or any other third-party manufacturer. Product names, manufacturer names, trademarks, model names, and part numbers referenced by AMCI are used for identification, compatibility, repair, replacement, historical reference, and informational purposes. Third-party trademarks remain the property of their respective owners. 2. Product Condition Product condition will be identified on the applicable quotation, invoice, or product listing. Conditions may include New, New Old Stock (NOS), Remanufactured, Refurbished, Rebuilt, Reconditioned, Recertified, Bench Tested, Used, or Harvested. Used, harvested, rebuilt, refurbished, reconditioned, remanufactured, and recertified products may exhibit reasonable cosmetic evidence of prior use. Normal cosmetic wear does not constitute a defect unless otherwise expressly stated. 3. Quotations, Orders & Pricing Prices are subject to change without notice unless an AMCI quotation specifies a validity period. A quotation does not reserve inventory unless expressly stated. Pricing may exclude shipping, freight, insurance, duties, tariffs, taxes, brokerage, installation, calibration, travel, rigging, special packaging, export documentation, and special handling unless specifically included. A purchase order constitutes an offer to purchase and becomes binding upon AMCI's acceptance, shipment, written order confirmation, or other affirmative acceptance. Additional or conflicting terms on a Buyer's purchase order do not modify AMCI's terms unless expressly accepted by AMCI in writing. Customers submitting revised purchase orders should clearly mark them "REVISED - DO NOT DUPLICATE." AMCI reserves the right to correct typographical, clerical, pricing, description, or inventory errors. 4. Payment Terms Payment terms are those stated on the applicable quotation or invoice. Approved customers receiving Net 45 terms must pay within 45 calendar days of the invoice date unless different written terms apply. Past-due balances may be subject to a late charge at the lesser of 1.5% per month (18% annually) or the maximum rate permitted by applicable law. Buyer may also be responsible for reasonable collection costs, attorneys' fees, and court costs to the extent permitted by law. 5. Standard Same-Day Shipping 5:00 PM CST Cut-Off Qualifying in-stock products may ship the same business day when the completed order is received and ready for shipment by 5:00 PM Central Standard Time (CST). An order is ready for shipment only after AMCI has received all information, payment or approved credit, shipping instructions, and authorizations necessary to release it. Orders completed after 5:00 PM CST normally ship the next AMCI business day unless AMCI accepts a Late-Drop / After-Hours Shipping request. Same-day shipping means AMCI tenders the shipment to the carrier; it does not guarantee the carrier's delivery date or time. 6. Late-Drop / After-Hours Overnight Shipping Available Until 7:00 PM CST - $25 AMCI Service Fee For urgent orders requiring overnight delivery, AMCI may offer an optional Late-Drop / After-Hours Shipping Service after the regular 5:00 PM CST cut-off. When operationally available, qualifying shipments may be accepted until 7:00 PM CST. A $25 Late-Drop Service Fee applies in addition to all carrier freight, overnight, insurance, and other shipping charges. AMCI personnel may transport the completed shipment directly to an appropriate FedEx or UPS sorting hub, carrier processing facility, or airport-area carrier facility in an effort to tender it in time for overnight processing. The $25 fee covers AMCI's additional after-hours handling and transportation effort. It does not guarantee next-day delivery. Carrier acceptance, capacity, weather, mechanical delays, service interruptions, destination restrictions, shipment size, and other carrier conditions remain outside AMCI's control. Late-drop availability must be confirmed by AMCI. Large, unusually heavy, freight, international, restricted, or specially packaged shipments may not qualify. 7. Shipping Damage Buyer should inspect shipments promptly upon delivery. Visible damage, punctures, crushed cartons, broken pallets, shortages, or other abnormalities should be documented immediately. Buyer should retain the carton, pallet, foam, internal packaging, shipping labels, photographs, delivery documentation, and damaged product until the matter is resolved. Shipping damage should be promptly reported to AMCI and the applicable carrier. Failure to preserve packaging or document damage may impair a freight claim. 8. Returns & Restocking Returns require prior authorization from AMCI and a valid Return Material Authorization (RMA) number. Unless otherwise stated on the quotation, sales order, packing slip, or invoice: Returns must be requested within 30 days of delivery. Items must be returned in their original packaging and in the same condition in which they were received. Unopened/unused items: 25% restocking fee. Opened but unused/uninstalled items: 30% restocking fee. Items that have been installed, altered, modified, tampered with, damaged, or are otherwise not in their original condition may be subject to a 50%-75% restocking fee or may be refused for return. No returns or refunds will be accepted after the applicable return period. Shipping and freight charges are non-refundable unless otherwise approved by AMCI. If a customer places a replacement order, AMCI may waive or reduce the restocking fee at its sole discretion. Hazardous-material (HAZMAT) items are not returnable. Issuance of an RMA authorizes the return for inspection only. It does not constitute approval of a refund, credit, exchange, DOA claim, or warranty claim. 9. Core-Exchange Sales What "Sold on Exchange" Means Certain replacement parts, assemblies, and detectors are offered at an exchange price. The exchange price reflects Buyer's agreement to return a qualifying defective or used component (the "core") of the required type to AMCI. The packing slip, invoice, quotation, or exchange authorization will identify when a core return is required. A core-exchange sale has two separate obligations: (1) AMCI supplies the replacement product at the agreed exchange price; and (2) Buyer returns the required qualifying core within the stated deadline. The core-return obligation is part of the exchange transaction and is not optional unless Buyer pays the applicable core charge, outright-sale price difference, or other stated non-returned-core amount. Core-Return Deadline The deadline stated on the applicable invoice or exchange authorization controls. Unless a different period is stated, the qualifying core must be shipped back to AMCI within 10 calendar days after delivery of the replacement product. If additional time is required, Buyer must contact AMCI before the deadline. AMCI may approve an extension in writing depending on the product and circumstances. An extension is not effective unless approved by AMCI. AMCI may require Buyer to provide the carrier and tracking number by the deadline. Merely requesting an RMA, exchange authorization, or return label does not satisfy the core-return obligation; the core must actually be tendered to the carrier within the required period. Acceptable Core Requirements Unless AMCI agrees otherwise in writing, the returned core must: Be the correct required part, assembly, detector, or AMCI-approved equivalent; Be substantially complete and include required major components; Have applicable serial-number and identification labels intact; Be reasonably repairable or rebuildable; Not be stripped for parts or missing major components; Not have catastrophic fire damage, severe liquid contamination, or intentional physical destruction; and Be adequately packaged to prevent additional damage during return shipment. Normal failure, ordinary wear, and the defect that caused the component to require replacement generally do not disqualify an otherwise acceptable core. AMCI determines final core acceptability after inspection. Late, Missing, Incorrect or Unacceptable Core If the required core is not returned by the deadline, is not like-for-like or otherwise approved, is incomplete, is missing major components, is not reasonably repairable, has been stripped, or is otherwise outside the stated exchange requirements, AMCI may reject the core, assign a reduced core value, or invoice Buyer for the applicable core charge, difference between the exchange price and outright-sale price, or other amount stated on the transaction documents. Payment of the applicable core charge or outright-sale price difference satisfies the outstanding core-return financial obligation unless otherwise stated in writing. Replacement Product vs. Core The replacement product purchased by Buyer is separate from the core that Buyer is obligated to return. A core exchange is not a temporary loaner or rental. Buyer is not required to return the purchased replacement product merely because the original core has not yet been returned; instead, the outstanding obligation is to return an acceptable core or pay the applicable non-returned-core charge. A core return is not a merchandise return and does not cancel the replacement product purchase. A core exchange is also separate from a warranty claim. Returning a defective core does not automatically establish warranty coverage, and submitting a warranty claim does not automatically satisfy a separate core obligation unless AMCI confirms otherwise in writing. Core Return Shipping & Inspection Unless AMCI agrees otherwise, Buyer is responsible for proper packaging, timely shipment, and retaining tracking documentation. If AMCI supplies a return label, Buyer remains responsible for proper packaging and timely tender to the carrier. Carrier delivery confirmation establishes delivery to AMCI but not final core acceptance. AMCI may inspect the returned core for part number, serial number, completeness, physical condition, and exchange eligibility before closing the exchange obligation. 10. DOA - Defective on Arrival If a part appears to be Defective on Arrival (DOA), notify AMCI within 3 days of receipt and submit an RMA request. The claimed defective item must generally be returned within 10 days after authorization. All DOA returns are subject to inspection and testing to determine whether the reported failure resulted from a product defect, workmanship issue, shipping damage, improper installation, misuse, or another cause. AMCI's inspection and testing findings will determine whether the DOA claim is approved. 11. Limited Parts Warranty Unless a different warranty is specifically stated on the quotation, invoice, product listing, or other written sales documentation, AMCI replacement parts include a 30-day limited warranty against defects in workmanship or malfunction. Certain products, including refurbished or remanufactured parts, detectors, X-ray tubes, assemblies, complete systems, and other products may carry different warranty periods or prorated warranty terms. The warranty stated on the applicable invoice or written sales documentation controls. Individual metal, plastic, glass, rubber, and similar non-moving components may not carry a standard functional warranty but may be covered for defects in workmanship . 12. Warranty Claims A valid RMA is required before returning any item for warranty evaluation. Returned products will be inspected and tested to determine the cause of failure. AMCI's inspection and testing findings will determine whether the claim qualifies for warranty coverage. If a claim is approved, AMCI may, at its discretion: Repair the defective product; Replace it with an equivalent product; or Provide another appropriate remedy. A replacement part provided during a warranty claim does not eliminate Buyer's responsibility to return the claimed defective product. Failure to return it within the specified RMA period may result in additional charges. 13. Warranty Exclusions Warranty coverage does not apply to failures or damage resulting from: Improper installation or installation error; Accident, abuse, misuse, or neglect; Improper application or operation; Unauthorized repair, modification, or alteration; Physical, impact, liquid, electrical, or environmental damage; Improper handling, storage, or transportation; Failure to follow manufacturer or AMCI instructions; or Removal, alteration, or tampering with serial numbers, identification labels, security markings, or warranty seals. Some identification or security markings may be internally located or concealed. 14. Warranty Shipping When AMCI authorizes warranty replacement shipping, the standard shipping method is ground service unless otherwise agreed in writing. If expedited, overnight, or special freight service is requested, the additional shipping charges may be billed to Buyer. Same-day warranty shipments are subject to product availability and the same shipping cut-offs stated in Sections 5 and 6: standard same-day processing through 5:00 PM CST, or, when accepted by AMCI, the optional $25 Late-Drop / After-Hours Shipping Service through 7:00 PM CST for qualifying overnight shipments. 15. Technical Support AMCI provides reasonable product support for parts and equipment purchased from AMCI. Due to the specialized nature of medical imaging equipment, AMCI generally does not provide telephone technical support for electronic circuit-board diagnosis, software configuration, calibration procedures, or complex troubleshooting. Limited mechanical and structural technical assistance may be provided as a customer courtesy. Installation, calibration, diagnosis, and service of medical X-ray equipment should be performed by appropriately qualified personnel. 16. AMCI Retrofit & Modified Systems AMCI independently develops and performs aftermarket retrofit and modernization solutions, including certain AMX-4, AMX-4 Plus, and Definium AMX 700 conversions, wired-to-wireless DR conversions, touchscreen workstation integration, wireless flat-panel detector integration, DICOM, PACS, Modality Worklist integration, and custom mounting solutions. Examples include AMCI Part #2801297 - 21" All-in-One Touchscreen PC and AMCI Part #2801298 - 17.3" Touchscreen Portable Laptop. Compatibility depends on the specific system, detector, acquisition software, network environment, and selected configuration. These are independent AMCI aftermarket solutions and are not represented as OEM factory conversions. 17. Special Orders, Final Sale & Exceptions Certain special-order, custom-configured, electrical/electronic, software, hazardous-material, specially sourced, modified, programmed, fabricated, or retrofit products may be designated Final Sale / Non-Returnable. Any special terms stated on an AMCI quotation, sales order, exchange authorization, RMA, packing slip, invoice, warranty document, or separately signed agreement take precedence over these general Terms & Conditions for that specific transaction. 18. Website & Product Information AMCI makes reasonable efforts to maintain accurate product descriptions, photographs, compatibility information, pricing, and technical information. Photographs may be representative, cosmetic appearance may vary, specifications and availability may change, and errors may occur. Buyer should confirm critical compatibility, configuration, dimensions, specifications, condition, and availability before ordering. 19. Limitation of Warranty & Liability Except for warranties expressly provided in writing and to the fullest extent permitted by applicable law, AMCI disclaims other warranties, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. Some jurisdictions restrict certain warranty exclusions, and applicable law controls where such limitations cannot be enforced. To the fullest extent permitted by applicable law, AMCI shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from a transaction or product, including loss of revenue, loss of profit, loss of use, loss of data, patient scheduling costs, substitute-equipment expenses, or business interruption. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited. 20. Intellectual Property Original AMCI-created website content, photographs, graphics, product descriptions, drawings, retrofit designs, documentation, mounting solutions, integration materials, and other original AMCI materials are owned by AMCI Medical Imaging LLC to the extent protected by applicable law. Third-party trademarks, documentation, product information, and other intellectual property remain the property of their respective owners. 21. Governing Law, Venue & Severability Unless otherwise required by applicable law or agreed in writing, these Terms and transactions with AMCI are governed by the laws of the State of Texas, without regard to conflict-of-law principles. To the extent legally enforceable, disputes arising from an AMCI transaction shall be brought in an appropriate state or federal court located in Harris County, Texas, unless the parties agree otherwise in writing. If any provision is held invalid or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law. Failure by AMCI to enforce a provision on one occasion does not waive AMCI's right to enforce that or another provision later. 22. Return Authorization & Contact Do not ship a return, warranty item, or exchange core to AMCI without the applicable authorization or instructions. Changes to These Terms AMCI may revise these Terms & Conditions periodically. Unless otherwise required by law, the version applicable to a transaction is generally the version in effect when AMCI accepts the order. RECONDITIONED, REFURBISHED, REMANUFACTURED GE AMX-4, AMX-4+, Definium AMX 700 The GE AMX-4 Series Portable X-ray system is a battery-powered radiography platform used for portable imaging at the patient location. Although no longer in production by GE, AMCI Medical Imaging supports GE AMX-4, AMX-4+ and Definium AMX 700 systems with used equipment options, digital radiography upgrades, replacement parts, and imaging service. Our Processes GE AMX-4 & AMX-4 Plus Complete Remanufacturing AMCI Medical Imaging LLC specializes in comprehensive top-to-bottom rebuilding and remanufacturing of GE AMX-4 and AMX-4 Plus portable X-ray systems. Our process goes beyond conventional refurbishment. Systems can be extensively disassembled so major mechanical, structural, electrical, electronic, generator, and X-ray components can be individually inspected, tested, repaired, rebuilt, upgraded, or replaced before reassembly, calibration, and final quality-control testing. Comprehensive AMX remanufacturing has historically included complete disassembly, circuit-board testing, chassis repair, X-ray tube and collimator inspection, cable replacement, calibration, and final QC. Major Assemblies & Systems AMCI's remanufacturing capabilities include: Base / Chassis & Drive Section — Inspection and rebuilding of the chassis, frame, caster mounts, wheels, drive motors, bearings, brakes, drive components, and structural stress areas. Structural repair and reinforcement can be performed where necessary. Drive Handle Assembly — Rebuilding of the handle, controls, switches, wiring, connectors, and related drive components. Drive Electronic Module — Troubleshooting, testing, component-level repair, rebuilding, or replacement of drive-control electronics. Mandatory Battery Upgrade — The original 9-battery-cell configuration is replaced with the 2-tray battery configuration as part of AMCI's remanufacturing process. Battery assemblies are replaced, with associated cables, terminals, connectors, mounting components, and charging circuitry inspected and serviced as required. Battery & Rotor Control Module — Testing, troubleshooting, component-level repair, rebuilding, or replacement of the module and associated circuitry. Generator / High Voltage Tank — Inspection, testing, repair, or replacement of the high-voltage tank, high-voltage cables, generator circuitry, wiring, and associated components. X-Ray Control Module — Component-level troubleshooting, testing, repair, rebuilding, or replacement of X-ray control electronics. Vertical Column Assembly — Rebuilding of the column, counterpoise system, cables, bearings, guides, locks, supports, and structural components. Horizontal Arm Assembly — Inspection and rebuilding of bearings, chains, cables, supports, mounting hardware, tube support, wiring, and related mechanical components. X-Ray Tube Assembly — Inspection and testing of the X-ray tube, rotor system, high-voltage connections, cables, mounting hardware, and related components. Collimator Assembly — Inspection, testing, repair, rebuilding, and alignment of the collimator, cables, controls, field light, switches, crosshair window, and associated components. Electronics, Mechanical & Structural Rebuilding AMCI provides component-level troubleshooting and repair of printed circuit boards, wiring harnesses, power electronics, switches, controls, connectors, circuit breakers, and other serviceable electronics. Mechanical components such as bearings, chains, casters, brakes, hinges, latches, mounts, supports, and structural members are inspected and repaired, rebuilt, reinforced, or replaced as necessary. The underlying AMX remanufacturing methodology includes electronic testing and calibration, wiring-harness and circuit-board repairs, along with reinforcement of common chassis stress points. Cosmetic Restoration After mechanical, structural, and electronic work is completed, covers, panels, bumpers, trim, decals, labels, and painted surfaces can be restored or replaced to provide a professional finished appearance. Remanufacturing is much more than a new paint job. Cosmetic restoration is the finishing stage of a much deeper rebuilding process . Calibration & Final Quality Control Following reassembly, systems undergo applicable operational testing and calibration, including kVp and mAs calibration, light-to-X-ray-field alignment, electrical grounding/leakage testing, drive operation, charging-system testing, safety checks, and final system QC. Beyond Conventional Refurbishment From the Base / Chassis & Drive Section → Drive Electronics → 2-Tray Battery System → Generator & High Voltage Tank → X-Ray Control Module → Vertical Column → Horizontal Arm → X-Ray Tube → Collimator, AMCI can address the complete portable mechanically, structurally, electrically, electronically, functionally, and cosmetically. AMCI Medical Imaging's remanufacturing program is designed to go beyond conventional refurbishment processes, including the scope traditionally associated with OEM refurbished equipment such as GE GoldSeal, through extensive major-assembly rebuilding, structural restoration, component-level electronic repair, and mandatory system upgrades.
